Oslo, 5 September 2023: Reference is made to the stock exchange announcement published by XXL ASA (the "Company") on 17 August 2023 regarding the approval by the extraordinary general meeting of the Company of a fully underwritten rights issue of 1,250,001,065 new shares in the Company, each with a nominal value of NOK 0.40, at a subscription price of NOK 0.40 per share (the "Rights Issue").
The subscription period for the Rights Issue expired today, on 5 September 2023 at 16:30 hours (CEST).
Preliminary results indicates that the Company has received subscriptions for 1,751,372,317 new shares. 1,250,001,065 new shares were offered in the Rights Issue. The preliminary counting consequently indicates an oversubscription of approximately 40.1%.
The final allocation of the new shares will take place tomorrow, on 6 September 2023, in accordance with the allocation criteria set out in the Company's prospectus dated 21 August 2023. The final result of the Rights Issue will be published shortly thereafter, and letters regarding allocation of new shares and the corresponding subscription amount to be paid by each subscriber, are expected to be distributed during the course of tomorrow, on 6 September 2023.
The payment date for the new shares is 8 September 2023.
